Terms and Conditions


1. Introduction
These Terms and Conditions (“Terms”) govern the relationship between Edge HR (“the Agency”) and the company (“the Client”), who seeks to engage the Agency’s recruitment services. By engaging our services, the Client agrees to be bound by these Terms.
2. Services Provided
The Agency offers recruitment and staffing services to identify, screen and recommend candidates for positions within the Client’s organisation. The Agency will use its resources, including databases, networks, and expertise to find suitable candidates based on the Client’s specified requirements.
3. Client Obligations
- The Client agrees to provide accurate, comprehensive, and timely information regarding the job requirements, company culture, and other relevant details necessary for the recruitment process.
- The Client must notify the Agency immediately upon making an offer to a candidate sourced by the Agency.
- The Client agrees to pay the Agency’s fees as per the agreed fee structure.
4. Fees and Payment Terms
- Where a candidate, introduced by the Agency to the Client, is offered employment and such offer of employment is accepted, the Agency will issue the Client with a tax invoice for the placement fee. The Agency shall not provide any background checks except for reference checks and pre-screening interviews. The Client undertakes to conduct any additional background checks as deemed necessary.
Please Note: When entering into a contract with Edge HR, you will receive a contract stating further Terms and Conditions which will be signed between the Agency and the Client.
5. Guarantee Period
- The Agency provides a guarantee period of three [3] months on the placement of candidates. If the candidate resigns or is terminated for just cause within this period, the Agency will provide a replacement candidate, provided the Client has fulfilled all payment obligations.
- The replacement guarantee does not apply if the candidate is laid off due to organisational restructuring, redundancy, or changes in job requirements.
6. Confidentiality
- Both the Agency and the Client agree to keep all information related to candidates and the recruitment process confidential and use it solely for the purpose of the recruitment engagement.
- The Client agrees not to disclose any candidate information to third parties without the candidate’s and the Agency’s consent.
7. Liability
- The Agency shall not be liable for any indirect, special, or consequential damages arising out of or in connection with the recruitment services provided.
- The Agency makes no warranties regarding the suitability, performance, or retention of any candidate.
- The Agency accepts no liability or responsibility for the accuracy of the information supplied to it by candidates, and the ultimate decision to employ the candidate remains the sole discretion of the Client. The Agency will not be liable for any loss, damage or expenses suffered and/or incurred by the Client, or any other person, whether directly or indirectly, arising from and/or incidental to the placement of a candidate by the Client.
9. Termination
- The Client may terminate the contract by providing two [2] calendar days’ written notice.
- In the event of termination, the Client will remain liable for any fees due for services provided up to the termination date.
10. Governing Law
- These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa.
- Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
11. Amendments
- The Agency reserves the right to amend these terms from time to time. The Client will be notified of any changes, and continued use of the Agency’s services will constitute acceptance of the revised Terms.
12. Acceptance
- By engaging the Agency’s services, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions. Edge HR is a Division of Edge Training (Pty) Ltd, a Level 1 BBBEE accredited training provider.
